Terms and Conditions for Incods LLC – 3PL and Logistics Services

These Terms and Conditions (“Terms”) govern your use of the services provided by Incods LLC, a third-party logistics (3PL) and supply chain services provider. By accessing or using our services, you agree to abide by and be bound by these Terms. If you do not agree to these Terms, please refrain from using our services.

1. Services Provided

Incods LLC offers a range of third-party logistics and supply chain management services, including but not limited to:

Inventory management
Order fulfillment
Shipping and delivery
Product sourcing
Warehousing
Quality inspection

These services are provided to businesses (“Clients”) who utilize our platform for their logistics and supply chain needs.

2. Account Creation and Responsibilities

To use our services, you may need to create an account with Incods LLC. By doing so, you agree to:

Provide accurate, current, and complete information during the registration process.
Keep your account information up to date, including contact details, billing information, and any other information required for us to provide services.
Maintain the confidentiality of your account login details and be responsible for all activities that occur under your account.
Notify us immediately of any unauthorized use of your account or any other security breach.

3. Client Responsibilities

As a Client of Incods LLC, you are responsible for:

Ensuring that all products provided for fulfillment, storage, and shipment comply with all applicable laws and regulations, including product safety and labeling requirements.
Providing accurate and up-to-date information about your products, including inventory levels, shipping details, and order processing instructions.
Ensuring timely payment for all services rendered.
Maintaining the condition and packaging of products to meet the standards required for logistics operations.

4. Pricing and Payment

Pricing: The pricing for our services will be agreed upon in advance between you and Incods LLC, based on your specific logistics needs. Prices are subject to change based on the services requested, volume, and other factors.
Payment Terms: Payments for services rendered will be invoiced according to the terms outlined in your agreement. Payment must be made within the specified timeframe, and any late payments may be subject to additional fees, as outlined in the invoice.
Late Payments: Failure to pay within the agreed terms may result in the suspension or termination of services. You may also be responsible for any collection costs or legal fees incurred by Incods LLC in collecting overdue payments.

5. Shipping and Delivery

Shipping Charges: Shipping charges will be based on the shipping method selected, the size and weight of the products, and the destination. These charges will be communicated to you prior to shipment.
Delivery Times: While we strive to meet all estimated delivery times, we are not liable for delays caused by third-party carriers, weather conditions, customs clearance, or other factors beyond our control.
Damaged Goods: Incods LLC is not liable for any damage to goods caused during shipping. However, we will assist you in resolving claims with shipping carriers, as needed.

6. Quality Control and Inspections

We provide quality inspection services as part of our logistics operations. Our inspections are conducted based on the standards agreed upon with the Client, but we do not guarantee the quality of products if defects arise due to manufacturing issues or improper handling by the Client or other third parties.

7. Confidentiality

Both parties agree to keep any confidential information, including but not limited to business practices, product information, and client details, confidential and not to disclose it to any third parties without prior written consent. This obligation will survive the termination of this agreement.

8. Intellectual Property

All intellectual property rights related to our website, platform, and any proprietary tools or technology used in the delivery of services belong to Incods LLC. Clients may not reproduce, modify, or distribute any of Incods LLC’s intellectual property without written permission.

9. Indemnification

You agree to indemnify, defend, and hold harmless Incods LLC, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your breach of these Terms.
Any product you provide for fulfillment or shipment that causes harm, injury, or damage.
Any legal claim arising from the misuse of our services.

10. Limitation of Liability

To the fullest extent permitted by law, Incods LLC’s liability for any claims, damages, or losses arising out of the use of our services is limited to the amount you have paid for the specific service(s) that gave rise to the claim. In no event will Incods LLC be liable for indirect, incidental, consequential, or punitive damages, including loss of profits or business interruption.

11. Termination

Either party may terminate the agreement with written notice to the other party. Upon termination, the Client will be responsible for any outstanding payments due for services rendered up to the termination date. Incods LLC may suspend or terminate services immediately in cases of non-payment, breach of these Terms, or unlawful activity.

12. Force Majeure

Incods LLC will not be liable for any failure or delay in the performance of its services due to causes beyond our reasonable control, including but not limited to natural disasters, labor disputes, acts of government, war, terrorism, or other force majeure events.
